Welcome to MPM Consulting. By accessing our website and engaging our services, you agree to comply with and be bound by the following terms and conditions. Please read them carefully.

1. Services Provided
MPM Consulting offers professional IT services, including but not limited to Business Process Re-engineering, Hardware/Software/Cloud solutions, Outsourcing/Nearshoring, AI Automation, Cybersecurity, and Corporate Training. All services are governed by specific Statements of Work (SOW) or service agreements signed by both parties.

2. Pricing and Payment Terms
Unlike traditional hourly consulting, MPM Consulting operates on a Project-Based Pricing model.
Milestone Payments: Payments are typically divided into three (3) installments:
Project Kick-off: Initial deposit required to commence work.
Proof of Concept (POC) Sign-off: Due upon validation of the solution's viability.
Delivery: Final payment due upon project completion and handover.
Late Payments: Late payments may result in the suspension of services or additional interest charges as permitted by law.

3. Intellectual Property
All training materials, custom code, methodologies, and technical documentation developed by MPM Consulting remain our intellectual property unless explicitly transferred to the Client in writing via a specific service agreement. The Client is granted a non-exclusive, non-transferable license to use the deliverables solely for their internal business operations.

4. Client Responsibilities
The success of our services depends on Client cooperation. The Client agrees to:
Provide timely access to necessary data, logins, and systems.
Appoint a primary point of contact for project decisions.
Ensure that staff participate in scheduled training sessions (e.g., Leadership, Soft Skills, Cybersecurity).

5. Cybersecurity Disclaimer
While MPM Consulting implements rigorous Risk Management Strategies (Prevention, Detection, and Response), no security system is impenetrable. The Client acknowledges that cybersecurity is a shared responsibility. MPM Consulting is not liable for breaches resulting from the Client’s failure to secure "the weakest link" (e.g., employee logins or negligence).

6. Limitation of Liability
To the maximum extent permitted by law, MPM Consulting shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, arising out of or related to the use of our services. Our total liability for any claim shall not exceed the amount paid by the Client for the specific project in question.

7. Termination
Either party may terminate a project if the other party breaches these terms and fails to cure such breach within thirty (30) days of written notice. Upon termination, the Client shall pay for all work completed up to the termination date.

8. Modifications to Terms
We reserve the right to modify these terms at any time. Your continued use of our services following any changes constitutes your acceptance of the new Terms and Conditions.
